(Nasdaq:NDAQ), announced today that Hellman & Friedman Capital Partners IV, L.P., H&F Executive Fund IV, L.P., H&F International Partners IV-A, L.P. and H&F International Partners IV-B, L.P. (the "H&F Entities") sold 23,545,368 shares of NASDAQ's common stock in a public offering underwritten by Morgan Stanley & Co. Incorporated. The shares sold consisted of shares issued through the conversion of notes and the cashless exercise of warrants, as well as shares held outright by the H&F Entities. NASDAQ will not receive any of the proceeds from the offering.
